Terms of Service

These Terms of Service govern your access to and use of the AControlLayer websites, hosted platform, APIs, and related services operated by Copper Asset Management, LLC.

1. Agreement to These Terms

These Terms of Service are between you and Copper Asset Management, LLC, doing business as AControlLayer ("ACL," "AControlLayer," "we," "us," or "our"). By accessing or using AControlLayer, you agree to these Terms of Service. If you are using ACL on behalf of a company or other entity, you represent that you have authority to bind that entity to these terms.

If you and ACL have signed an order form, statement of work, data processing agreement, or other written agreement, that agreement controls to the extent of any conflict with these terms.

2. Eligibility and Accounts

You must be legally able to enter into a binding contract to use ACL. You are responsible for keeping your account credentials secure, for activities that occur under your account, and for ensuring that only authorized users access your workspace.

3. The Service

ACL provides tools for agent governance, workflow execution, approvals, auditability, integrations, and related automation. We may update, improve, suspend, or discontinue parts of the service from time to time.

Some features may be designated as beta, preview, design partner, or early access features. Those features may change more frequently and may be subject to additional limits.

4. Customer Data and Instructions

You retain responsibility for the data, files, prompts, records, and instructions you submit to ACL. You must have all rights and permissions needed for ACL to process that data on your behalf.

You are responsible for determining whether ACL is appropriate for your use case, including any regulatory, contractual, or internal policy requirements that apply to your organization.

5. AI Outputs and Human Review

ACL may help generate drafts, recommendations, classifications, summaries, or other machine-generated output. AI and automation can be incomplete, inaccurate, biased, or unsuitable for a specific purpose.

Unless we expressly agree otherwise in writing, you are responsible for reviewing outputs and approving any material action before it is relied upon or sent externally. This includes communications, operational decisions, compliance-sensitive actions, and customer-facing content.

6. Integrations and Third-Party Services

ACL can connect to third-party products and services at your direction. Your use of those services is subject to their own terms, privacy notices, technical limits, and platform rules. ACL is not responsible for third- party services, third-party outages, or changes imposed by those providers.

7. Acceptable Use

You may not use ACL to:

  • violate law, infringe rights, or breach contractual or fiduciary obligations;
  • process data you do not have permission to use;
  • interfere with the service, evade security controls, or probe for vulnerabilities without authorization;
  • upload malware, abusive content, or material intended to disrupt systems or harm others;
  • use ACL to engage in spam, unlawful surveillance, deceptive impersonation, or fraudulent activity;
  • reverse engineer or misuse the service except to the extent that applicable law cannot be waived.

8. Security Responsibilities

You are responsible for configuring your workspace appropriately, maintaining account security, enabling MFA where appropriate, managing your users and permissions, and promptly notifying ACL of suspected unauthorized access or misuse.

9. Intellectual Property

ACL and its licensors retain all right, title, and interest in the service, software, documentation, and related intellectual property, excluding Customer Data. Subject to these terms, ACL grants you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription or service term.

10. Feedback

If you provide suggestions, ideas, or feedback about ACL, you grant ACL a non-exclusive, worldwide, royalty-free license to use that feedback for any lawful purpose without restriction or compensation.

11. Fees

Fees, billing terms, and payment obligations, if any, will be set out in an order form, statement of work, or other written commercial agreement between you and ACL.

12. Suspension and Termination

We may suspend or limit access to ACL if reasonably necessary to prevent harm, address security risks, comply with law, or stop a violation of these terms. Either party may terminate use of the service as provided in the applicable written agreement, or if no separate agreement exists, by discontinuing use of the service.

13. Disclaimers

Except as expressly stated in a written agreement signed by ACL, the service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ACL disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the service will be uninterrupted or error free.

14. Limitation of Liability

To the maximum extent permitted by law, ACL will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use.

To the maximum extent permitted by law, ACL's total liability arising out of or relating to the service and these terms will not exceed the amount you paid ACL for the service in the twelve months preceding the event giving rise to the claim. If you have not paid ACL for the service, ACL's total liability will not exceed one hundred U.S. dollars (USD $100).

15. Changes to These Terms

We may update these terms from time to time. If we make a material change, we will update the date on this page and may provide additional notice where appropriate. Your continued use of ACL after the updated terms take effect means you accept the revised terms.
